Terms of Service

1. Who we are

Mode Marketing Limited ("Mode", "we", "us") is a company registered in England and Wales. These terms govern the relationship between Mode and any individual or business ("you", "the client") who purchases services from us.

By engaging Mode and making payment, you confirm that you have read and agreed to these terms.

2. Our services

Mode provides marketing, brand, and website services as described on our packages pages. All services are delivered at fixed scope as set out at the time of purchase. The specific deliverables, timelines, and terms for each package are as published on our website at the point of sale.

We reserve the right to decline any project at our discretion prior to work beginning.

3. Payment

All prices are quoted exclusive of VAT. VAT is charged at the prevailing UK rate where applicable.

  • One-off packages are payable in full before work begins.
  • Monthly retainers are billed monthly in advance.
  • Ad spend is separate from management fees and is paid directly by you to the relevant platform (Google, Meta, LinkedIn). Mode does not hold or manage client ad budgets.
  • The Marketing Pre-flight fee (£595 + VAT) and Competitor Intelligence fee (£595 + VAT) are each credited in full toward any Mode package booked within 90 days of payment.

All payments are processed securely via Stripe. Mode does not store card details.

4. Timelines

Timelines stated on our service pages are working-day estimates and apply from the point we have received payment and all required client materials (brief, brand assets, copy, access credentials). Delays caused by late or incomplete client input will extend the stated timeline accordingly.

5. Revisions and scope

Each package includes a defined number of revision rounds as set out in the package description. Requests outside the agreed scope will be quoted separately before any additional work begins. We do not commence out-of-scope work without written agreement on cost.

6. Ownership and intellectual property

On receipt of full payment, all deliverables — including brand assets, website code, copy, and campaign materials — become your property. Mode retains no licence to use your deliverables beyond the purposes of delivering and quality-checking the work.

  • Domain names, ad accounts, analytics accounts, and hosting remain in your name throughout. Mode operates with access, not ownership.
  • If engagement ends for any reason, all accounts, assets, and data are transferred to you in full. There is no penalty and no data is withheld.

Mode may request permission to reference your project in our portfolio. This is optional and requires your written consent.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. Mode will not disclose client information to third parties except where required by law or necessary to deliver the agreed services (e.g. platform access for ad management).

8. Retainer cancellation

Monthly retainer services (Growth Sprint, Content Sprint, Scale Sprint, Mode Partner) require a three-month minimum commitment. After the minimum term, either party may cancel with 30 days' written notice. No penalty applies on cancellation after the minimum term.

Cancellation during the minimum term is not available except in cases of material breach by Mode.

9. Liability

Mode's total liability to you for any claim arising from our services is limited to the total fees paid by you to Mode in the three months preceding the claim. We are not liable for indirect or consequential losses, loss of revenue, loss of data, or any outcome resulting from third-party platforms or services (including Google Ads, Meta, LinkedIn, or any hosting provider).

We do not guarantee specific results from paid advertising or SEO work. Performance depends on variables outside our control including market conditions, budget, and platform algorithm changes.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these terms from time to time. The current version is always published at modemarketing.ai/terms. Continued use of our services after a change constitutes acceptance of the updated terms.
